Terms of Service

Welcome to AlignWithAI™. These Terms of Service ("Terms") govern your access to and use of our website, services, and communications provided by AlignWithAI™ ("AlignWithAI," "AWAI," "we," "us," or "our"), operated by FBL Digital Ventures LLC. By accessing our website, purchasing our services, engaging with our AI voice receptionist, or otherwise using our services, you ("you," "Client," or "User") agree to be bound by these Terms.

PLEASE READ THESE TERMS CAREFULLY. THEY INCLUDE IMPORTANT PROVISIONS REGARDING PAYMENT, CANCELLATION, LIMITATION OF LIABILITY, AND DISPUTE RESOLUTION.

1. Acceptance of Terms

By accessing or using our services, you represent that (a) you are at least eighteen (18) years of age, (b) you have the legal capacity to enter into a binding agreement, and (c) if you are agreeing to these Terms on behalf of a business entity, you have the authority to bind that entity. If you do not agree to these Terms, you may not access or use our services.

2. Our Services

AlignWithAI™ is a boutique AI agency providing operational diagnostic and AI implementation services to small business owners. Our services include but are not limited to:

2.1 Free AI Discovery Call

A complimentary fifteen (15) minute consultation with Lisa Lucas, Founder of AlignWithAI™, to identify AI opportunities in your business. No payment or commitment is required.

2.2 AI Readiness Audit — $297

A paid diagnostic call and written report identifying the top operational leaks in your business and recommended AI or process solutions. Delivered within seven (7) business days of the audit call.

2.3 AWAI-Voice — $997 Setup + $497/Month

A custom-built AI voice receptionist service tailored to your business. Setup includes discovery, configuration, integration with your calendar, and training on your business knowledge. Monthly service includes unlimited call answering, ongoing optimization, knowledge base updates, and system upgrades. Setup is a one-time fee. Monthly service is billed on a recurring basis and may be cancelled at any time with thirty (30) days written notice.

2.4 Founding Client Full Fix — $1,500 (Limited to Three Spots)

A thirty (30) day engagement including operational audit, solution design, and implementation of one priority fix. Includes a testimonial and case study agreement in exchange for founding-client pricing. Limited to three (3) engagements at this pricing tier.

3. Fees and Payment

3.1 Payment Terms

      All fees are quoted in U.S. dollars and are due at the time of purchase unless otherwise specified

      One-time fees (Audit, Founding Client, AWAI-Voice setup) are due before service begins

      Monthly recurring fees (AWAI-Voice) are billed automatically on the same day each month, starting the day your voice agent goes live

      Payments are processed by Stripe or another third-party payment processor

      You are responsible for maintaining a valid payment method on file

3.2 Late Payment

If a scheduled payment fails, we will attempt to charge the payment method on file up to three (2) additional times over five (5) days. If payment remains unsuccessful, we reserve the right to suspend service until payment is resolved. Extended non-payment may result in service termination and forwarding of the account to collections.

3.3 Fee Changes

We may change our fees for future service periods. For monthly recurring services, we will provide at least thirty (30) days advance notice of any fee change. If you do not agree to the new fee, you may cancel before the change takes effect.

4. Cancellation and Refund Policy

4.1 AWAI-Voice Monthly Service

You may cancel your AWAI-Voice monthly subscription at any time by providing written notice to [[email protected]]. Cancellation is effective at the end of the current billing cycle. No prorated refunds are provided for partial months. Service continues through the paid period.

4.2 Setup Fees

AWAI-Voice setup fees are non-refundable once configuration work has begun. If you cancel before setup begins, you will receive a full refund minus a $100 administrative fee.

4.3 AI Readiness Audit

The $297 audit fee is refundable within seven (7) days of the audit call if you are dissatisfied with the deliverable, provided the written report has not yet been delivered. No refunds are available after report delivery.

4.4 Founding Client Engagement

The $1,500 Founding Client fee is fifty percent (50%) refundable within the first seven (7) days of engagement. After day seven, the fee is non-refundable. If AlignWithAI™ terminates the engagement for cause (excluding client non-cooperation), a prorated refund will be provided.

4.5 No Refund for Completed Services

Once a service has been fully delivered (audit report, voice agent goes live, etc.), no refund is available.

5. SMS and Voice Communications Consent

By providing your phone number and using our services, you consent to receive SMS text messages and voice calls from AlignWithAI™ related to your account, appointments, service delivery, and (with separate explicit consent) marketing communications. Full details are provided in our Privacy Policy.

5.1 A2P Compliance

Our SMS practices comply with the Telephone Consumer Protection Act (TCPA), CTIA industry guidelines, and applicable state laws. You may opt out of SMS at any time by replying STOP to any message. You may opt out of marketing calls at any time by informing our AI voice agent, Roxie, or by contacting us in writing.

5.2 Message Frequency and Rates

Message frequency varies based on your interactions with our services. Standard message and data rates from your mobile carrier may apply. AlignWithAI™ is not responsible for carrier charges. Consent to receive SMS is not a condition of purchasing any product or service.

5.3 AI Voice Receptionist Disclosure

Our AI voice receptionist, Roxie, will identify herself as an AI at the start of each call and may disclose that the call is being recorded. If you do not consent to recording, you may end the call and reach us through alternative channels. Roxie's role is limited to intake, discovery, and appointment scheduling — she does not provide professional advice.

6. Client Responsibilities

You agree to:

      Provide accurate, current, and complete information when engaging our services

      Cooperate with our team during discovery, audits, and implementation

      Provide timely feedback on deliverables to enable effective service delivery

      Maintain the confidentiality of any credentials or access we provide

      Comply with all applicable laws while using our services

      Not use our services to send spam, harass others, or violate any laws

      Notify us promptly of any changes to your business circumstances that materially affect the services

7. Intellectual Property Rights

7.1 Our Intellectual Property

The AlignWithAI™ name, logo, tagline ("Unlocking AI, Empowering You"), the 7-leaks framework, thesis language, methodologies, written content, custom-built AI agents, prompts, workflows, systems, and other proprietary materials are the exclusive property of AlignWithAI™ and FBL Digital Ventures LLC. You may not copy, distribute, modify, resell, or create derivative works from our intellectual property without written permission.

7.2 Client License

Upon full payment, you receive a non-exclusive, non-transferable, revocable license to use the specific deliverables produced for your business (e.g., your customized AWAI-Voice agent, your audit report) for your internal business purposes only. You may not resell, sublicense, or share these deliverables with third parties.

7.3 Client-Provided Materials

You retain ownership of any content, data, or materials you provide to us. By providing materials, you grant us a limited license to use them solely for delivering the services you have purchased.

7.4 Testimonials and Case Studies

Unless you specifically opt out in writing, we may use your business name, results, and general feedback in marketing materials, case studies, and testimonials. We will not disclose confidential business details without your written consent.

8. Third-Party Services

Our services integrate with and depend upon third-party platforms including GoHighLevel 365, Twilio, Stripe, Google Workspace, and others. We are not responsible for the availability, performance, or actions of these third-party services. Service disruptions caused by third-party platforms are outside our control, though we will make reasonable efforts to communicate and mitigate disruptions.

9. Disclaimers of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that our services will meet all your requirements, be uninterrupted, timely, secure, or error-free, or that our AI systems will produce specific results. We make no guarantees about revenue, lead volume, conversion rates, or specific business outcomes. Client results depend on many factors, including client effort, business circumstances, and market conditions.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALIGNWITHAI™, FBL DIGITAL VENTURES LLC, AND THEIR OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITY, OR GOODWILL, ARISING FROM YOUR USE OF OUR SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO OUR SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIABILITY LIMITATIONS, SO THESE MAY NOT APPLY TO YOU IN FULL.

11. Indemnification

You agree to defend, indemnify, and hold harmless AlignWithAI™, FBL Digital Ventures LLC, and their affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorney's fees) arising from (a) your use of our services, (b) your violation of these Terms, (c) your violation of any third-party rights, or (d) content you provide to us.

12. Confidentiality

Both parties may share confidential information during the course of engagement. Each party agrees to (a) use the other's confidential information only for the purpose of the engagement, (b) not disclose it to third parties without written consent, and (c) protect it with the same care used for their own confidential information. This obligation survives termination of the engagement for three (3) years.

13. Dispute Resolution

13.1 Informal Resolution First

Before initiating any formal proceeding, the parties agree to first attempt to resolve disputes informally by contacting each other at the addresses provided. If not resolved within thirty (30) days, either party may proceed with formal resolution.

13.2 Binding Arbitration

Any dispute not resolved informally shall be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. Arbitration shall take place in California. The arbitrator's decision shall be final and binding. Judgment may be entered in any court of competent jurisdiction.

13.3 Class Action Waiver

You agree to resolve disputes with us only on an individual basis and not as part of any class, consolidated, or representative action.

13.4 Exception for Injunctive Relief

Either party may seek injunctive or equitable relief in court for intellectual property disputes or breaches of confidentiality.

14. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. You consent to the exclusive jurisdiction of California state and federal courts for any legal action not subject to arbitration.

15. Termination

We may suspend or terminate your access to our services at any time for (a) violation of these Terms, (b) non-payment, (c) fraudulent or illegal activity, (d) conduct harmful to our team or other clients, or (e) any other reason at our discretion, with reasonable notice where practicable. Upon termination, your right to use our services ends immediately. Provisions that by their nature should survive termination (intellectual property, confidentiality, limitation of liability, dispute resolution) shall survive.

16. Modifications to Terms

We may modify these Terms at any time. When we make material changes, we will post the updated Terms on our website and update the "Last Updated" date at the top. For significant changes, we will notify you via email or a prominent notice. Your continued use of our services after changes take effect constitutes acceptance of the updated Terms. If you do not agree to changes, your only remedy is to stop using our services and, for recurring services, cancel per our cancellation policy.

17. Force Majeure

Neither party shall be liable for delay or failure to perform obligations due to causes beyond reasonable control, including natural disasters, war, terrorism, government action, pandemic, third-party service outages, or other force majeure events.

18. General Provisions

      Entire Agreement: These Terms, together with our Privacy Policy and any service-specific agreements, constitute the entire agreement between you and us.

      Severability: If any provision is found unenforceable, the remaining provisions remain in full effect.

      Waiver: Our failure to enforce any provision does not waive our right to enforce it later.

      Assignment: You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger or acquisition.

      No Third-Party Beneficiaries: These Terms create no rights for any third party.

19. SMS Terms & Conditions

By opting in to receive text messages from FBL Digital Ventures LLC / AlignWithAI, you agree to receive text messages related to your inquiry, appointment reminders, confirmations, customer care, service updates, and follow-up communication.

Message frequency may vary. Message and data rates may apply. Reply HELP for help. Reply STOP to opt out.

You may opt out at any time by replying STOP to any text message. After opting out, you may receive one final confirmation message. For assistance, reply HELP or contact us through our website.
